Terms of Use

§1 Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User") and SSZone, a sole proprietorship operating under Indian law ("SSZone," "we," "us," "our"). These Terms govern your access to and use of the SSZone platform, including all features, services, and content made available at sszone.live and related subdomains.

By registering an account, clicking "I Agree," or otherwise using any part of our platform, you confirm that you:

• Have read, understood, and agree to these Terms
• Are at least 18 years of age, or are a legally authorised representative of an institution
• Have the legal authority to enter into binding agreements on behalf of your organisation

§2 Description of Services

SSZone is a cloud-based school management SaaS platform offering the following services:

• School Management Panel: Student records, attendance, fee management, exam results, and reporting for schools
• iCard Studio: Automated bulk ID card generation, photo processing, printing management, and template design
• Vendor Marketplace: A curated store where approved vendors list school-related products for purchase by schools and parents
• Operator Panel: For iCard operators to manage bulk card production, photo cropping, and background editing
• Sales Partner Program: A commission-based programme enabling partners to onboard schools onto the SSZone platform
• Help System: Dedicated support agents providing assistance to all platform users

Services are provided on a subscription basis and are subject to the plan selected by each user. SSZone reserves the right to modify, suspend, or discontinue any service with reasonable prior notice.

§3 User Accounts

To access SSZone services, you must register an account and maintain it in accordance with these Terms.

• You must provide accurate, current, and complete information during registration
• You are solely responsible for maintaining the confidentiality of your login credentials
• You must immediately notify us of any unauthorised access to your account
• One account may not be shared among multiple individuals; each staff member requiring access should have their own credentials
• SSZone reserves the right to suspend or terminate accounts found in violation of these Terms without prior notice

§4 Subscription Plans & Payment Terms

4.1 Platform Subscriptions

Access to SSZone's school management features requires a paid subscription. Subscriptions are available on monthly and annual billing cycles. Pricing is as displayed on our Pricing page and is subject to change with 30 days' prior notice to existing subscribers.

• All prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes
• GST (Goods and Services Tax) at the prevailing rate will be charged on all services as per Indian tax law
• Annual subscriptions are charged upfront for a 12-month period
• Monthly subscriptions auto-renew at the end of each billing cycle unless cancelled

4.2 Auto-Renewal

Subscriptions auto-renew automatically. You will receive an email reminder 7 days before renewal. You may cancel auto-renewal at any time from your account dashboard. Cancellation takes effect at the end of the current billing period; you will retain access until the period expires.

4.3 School's Own Payment Gateway

Schools may integrate their own RBI-authorised payment gateway to collect student fees, tuition charges, and other institutional payments through the SSZone interface. In such cases:

• SSZone provides only the technical interface; it is not a party to transactions between the school and parents/students
• The school is solely responsible for the accuracy of fee charges, refund handling, and compliance with RBI guidelines for payment collection
• SSZone does not handle, hold, or process student fee money on behalf of schools using their own payment gateway
• Schools must ensure their payment gateway is compliant with applicable RBI regulations and security standards (PCI DSS)

4.4 Failed Payments

If a payment fails at renewal, your subscription may be temporarily suspended until payment is successfully processed. We will notify you via email and provide a 7-day grace period to update payment details before suspension.

§5 School & Institutional User Responsibilities

Schools and educational institutions using SSZone agree to:

• Ensure all data uploaded to the platform (student records, photographs, fee data) is accurate and lawfully collected
• Obtain necessary written consent from parents or guardians before uploading minor student data
• Comply with the DPDP Act 2023 in their capacity as Data Fiduciaries for student data
• Not use SSZone to store or process data beyond what is necessary for legitimate school management purposes
• Ensure that all staff members with system access are appropriately trained and authorised
• Promptly report any data breaches or unauthorised access to SSZone support

§6 Vendor Terms

Vendors approved to list products on the SSZone marketplace agree to:

• List only genuine, lawfully sourced products accurate in description, pricing, and availability
• Comply with all applicable Indian laws including the Consumer Protection Act 2019, the Legal Metrology Act, and relevant product-specific regulations
• Fulfil orders in the timeline specified at the time of sale
• Maintain their own refund and return policy visible to buyers and comply with it
• Not list counterfeit, prohibited, or hazardous products
• SSZone earns a platform commission on each confirmed sale as agreed at vendor onboarding; this commission structure may be updated with 30 days' notice

§7 Sales Partner Terms

Sales Partners (individuals or entities enrolled in SSZone's partner programme) agree to:

• Represent SSZone's services honestly and accurately to prospective schools
• Not make any promises, guarantees, or representations about SSZone that are not authorised in writing
• Earn commissions only on verified, active school subscriptions as per the commission structure agreed at enrolment
• Not engage in unfair trade practices, spamming, or misrepresentation
• Disclose their role as a Sales Partner when approaching schools

Commission structures, eligibility, and payout timelines are governed by the Sales Partner Agreement separately provided at the time of onboarding. SSZone reserves the right to modify or terminate the partner programme with 30 days' notice.

§8 Prohibited Uses

You agree not to use SSZone to:

• Violate any applicable Indian or international law or regulation
• Upload, transmit, or distribute unlawful, defamatory, obscene, or harmful content
• Attempt to gain unauthorised access to any part of the platform, other accounts, or server infrastructure
• Use automated tools (bots, scrapers) to extract data from the platform
• Impersonate any person, school, or entity
• Upload malware, viruses, or any code designed to disrupt or damage systems
• Use the platform to process or store data unrelated to legitimate school management activities
• Resell, sublicense, or white-label SSZone services without prior written authorisation

§9 Intellectual Property

All software, design, code, logos, content, and materials on the SSZone platform are the exclusive intellectual property of SSZone and are protected under the Copyright Act 1957, the Trade Marks Act 1999, and applicable Indian IP laws.

• You are granted a limited, non-exclusive, non-transferable licence to use SSZone solely for your internal school management purposes during the active subscription period
• You may not copy, reproduce, reverse-engineer, decompile, or create derivative works from SSZone's code or content
• Data you upload to SSZone (student records, school content) remains your property. You grant SSZone a licence to store and process this data solely for service delivery

§10 Disclaimers

SSZone is provided on an "as is" and "as available" basis. While we strive for maximum uptime and reliability, we do not warrant that:

• The platform will be available uninterrupted or error-free at all times
• All data calculations (attendance percentages, fee totals) are free from system errors — users should independently verify critical reports
• SSZone is a substitute for professional legal, financial, or administrative advice

SSZone is not liable for losses arising from internet connectivity failures, user error, third-party payment gateway downtime, or force majeure events.

§11 Limitation of Liability

To the maximum extent permitted under Indian law, SSZone's total cumulative liability for any claim arising out of or related to these Terms or the services shall not exceed the total subscription fees paid by the affected user in the 3 months immediately preceding the incident.

SSZone shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or reputational harm.

§12 Indemnification

You agree to indemnify, defend, and hold harmless SSZone, its proprietor, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your breach of any applicable law or third-party right
• Data you upload to the platform
• Any misrepresentation you make to SSZone or third parties in connection with our services

§13 Termination

By You: You may close your account at any time. Upon closure, your data will be retained as per our Data Retention policy and deleted thereafter.

By SSZone: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay outstanding dues. We will provide written notice of termination where practicable.

Upon termination for cause, no refund of prepaid subscription fees will be issued. Upon voluntary termination, our Refund Policy governs any eligible refunds.

§14 Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of India.

The courts having jurisdiction shall be determined by the applicable Indian Civil Procedure Code based on the place of business of SSZone as the proprietorship entity.

§15 Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute. If negotiation fails:

• Consumers (schools and individuals) may approach the appropriate Consumer Disputes Redressal Commission under the Consumer Protection Act 2019
• Commercial disputes may be referred to arbitration under the Arbitration and Conciliation Act 1996, with a sole arbitrator appointed by mutual agreement

§16 Amendments

SSZone reserves the right to amend these Terms at any time. Amendments become effective 15 days after they are posted, or immediately in the case of changes required by law. It is your responsibility to review these Terms periodically. Continued use of the platform following notice of changes constitutes your acceptance.
